TERMS OF SERVICE
Core
These Terms of Service (“Terms”) govern access to and use of Core (the “Service”) provided by Core (“Core”, “we”, “us”, “our”). By creating an account, signing an order form, or using the Service, you agree to these Terms on behalf of the business or organization you represent (“Customer”, “you”). If you do not have authority to bind the Customer, do not use the Service.
1Scope; B2B Use
The Service is offered for business-to-business use. You represent that you are using the Service for commercial purposes and not as a consumer for personal use. If you use the Service on behalf of a company, that company is the Customer.
2Definitions
- “Account” means the Customer’s account used to access the Service.
- “Customer Data” means data, content, or materials submitted to the Service by or for Customer.
- “Documentation” means user guides, help articles, and technical documentation we provide for the Service.
- “Order Form” means a quote, statement of work, subscription plan selection, or other ordering document referencing the Service.
- “Subscription Term” means the period during which Customer is authorized to use the Service.
3The Service; Changes
We provide the Service as described in the applicable Order Form and Documentation. We may update, modify, or discontinue features from time to time. If a change materially reduces core functionality you paid for, your sole remedy is to stop using the affected portion and, if applicable, request a pro-rated refund for prepaid fees for the remaining portion of the Subscription Term, unless the change is required by law, security needs, or third-party dependencies.
4Account Registration; Security
You must provide accurate Account information and keep it current. You are responsible for all activity under your Account and for maintaining the confidentiality of credentials. You must promptly notify us of any suspected unauthorized access.

You will not, and will not permit anyone to:
6Customer Data; Ownership; License
As between the parties, Customer owns Customer Data. Customer grants Core a non-exclusive, worldwide license during the Subscription Term to host, process, transmit, display, and otherwise use Customer Data solely to provide, maintain, secure, and improve the Service, support Customer, and comply with law.

9Third-Party Services; Integrations
The Service may interoperate with third-party services, software, or platforms (“Third-Party Services”). Your use of Third-Party Services is governed by their terms. We are not responsible for Third-Party Services, their availability, security, or how they process data.

12Data Export and Deletion
During the Subscription Term and for a reasonable period after termination/expiration (if offered by the Service or agreed in writing), you may export Customer Data using available features. After that period, we may delete Customer Data in accordance with our standard retention practices, unless prohibited by law or agreed otherwise.

Customer will comply with all applicable laws in connection with its use of the Service, including anti-corruption, export control, and sanctions laws. Customer represents it is not prohibited from receiving the Service under applicable laws.
17Notices
Notices must be in writing. We may provide notices via the Service, email to the Account email, or other reasonable means. Customer notices to Core must be delivered to the contact method specified in the applicable Order Form or as otherwise published by Core for legal notices, and are deemed given when received.
18Assignment
Customer may not assign or transfer these Terms without our prior written consent, except to an affiliate or in connection with a merger, acquisition, or sale of substantially all assets, provided the assignee agrees in writing to be bound. We may assign these Terms in connection with a corporate restructuring, merger, acquisition, or sale of assets.
19Force Majeure
Neither party is liable for delays or failures due to events beyond reasonable control, including natural disasters, acts of government, labor disputes, internet or hosting failures, or security incidents not caused by the affected party’s negligence.
20Governing Law; Dispute Resolution; Venue
These Terms are governed by the laws of India, without regard to conflict of law principles. The courts located in India will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service, and each party consents to such jurisdiction and venue.
21Entire Agreement; Order of Precedence; Severability; Waiver
These Terms, together with any Order Form and incorporated policies/attachments, constitute the entire agreement and supersede prior agreements on the subject. If there is a conflict, the Order Form prevails over these Terms for that order, and these Terms prevail over Documentation. If any provision is unenforceable, the remainder will remain in effect. Failure to enforce any provision is not a waiver.
